A staple of our practice is the representation of individuals and businesses in general business and commercial matters. This includes both business planning and litigation of disputes in courts, arbitrations, and before administrative agencies.
We represent parties in planning transactions by providing guidance in the selection of the appropriate business entity, including sole proprietorships, partnerships and a variety of corporate entities (including subchapter S corporations, C corps, and LLCs), and counseling about the appropriate tax structure for a business venture.
We have represented clients in buying and selling businesses, including appropriate contract documentation, loan documentation, and regulatory compliance.
From time to time, business owners find themselves in disputes with customers or other business, and we have represented clients in such cases involving a host of disputed matters. These have included general contract disputes, real estate contract and lien matters, competition and intellectual property disputes, and construction, employment, and environmental matters. In representing our clients’ interests in such matters we are experienced in a wide range of dispute resolutions forums, including state and federal courts, arbitrations, and mediations.
